Council on Equal Opportunity and Diversity
ARTICLE I - PURPOSE
The Council on Equal Opportunity and Diversity (CEOD) is a standing council that supports and provides oversight for the University of Massachusetts Medical School (UMMS) in fulfilling the UMMS commitment to affirmative action and diversity. These include: monitoring and proposing programs and policies designed enhance the creation and maintenance of an atmosphere of mutual respect for students, faculty, staff, volunteers, and visitors; working with appropriate UMMS resources to create an ethnically, racially, and culturally diverse community; providing advice and support to the Diversity and Equal Opportunity Office (DEOO) in its mission to protect the rights of all who work and study at and visit UMMS by ensuring fairness and equity in UMMS programs, policies, activities, and all other interactions and provide a positive and supportive environment for all individuals, including protected class members.
ARTICLE II - DUTIES
The CEOD provides oversight of UMMS policies, procedures and activities to assure
that UMMS does not discriminate on the basis of race, color, religion, gender, age,
sexual orientation, national origin, veteran status, or disability in recruiting, hiring,
promoting, paying, and retaining staff, faculty and students. The Council monitors and
recommends to the DEOO and to the Chancellor policies, procedures, activities, and
programs to implement the UMMS affirmative action and diversity plans and to assure
that UMMS fully complies with all state and federal guidelines relevant to the equal
opportunity rights of protected classes.
The Council also promotes sensitivity to and awareness of diversity among all
individuals at UMMS.
ARTICLE III – REPORTING RELATIONSHIPS
The CEOD reports directly to the Chancellor. The Associate Vice Chancellor for
Diversity and Equal Opportunity, who also reports directly to the Chancellor, works in
close collaboration with the Council and is ultimately responsible for managing and
implementing the full range of activities, policies and procedures, associated with the
affirmative action efforts at UMMS. To achieve their mutual goals, the CEOD and the
DEOO maintain a collaborative and mutually supportive working relationship.
ARTICLE IV – COUNCIL STRUCTURE A. Membership
The Council shall ensure that its membership reflects the diversity of UMMS by having
a broad representation of employees from across the UMMS system. At least five
faculty members must serve on the Council. The Student Body Council will be asked to
choose student representatives from the School of Medicine, the Graduate School of
Nursing, and the Graduate School of Biomedical Sciences. The following serve as ex
officio members: the Vice Chancellor for Faculty Administration, Associate Vice
Chancellor for Diversity and Equal Opportunity, Associate Vice Chancellor for Human
Resources, Associate Vice Chancellor for School Services, Assistant Dean for Student
Affairs/Minority Support Services, and/or their designee, and a representative from
the Women’s Faculty Committee.
B. Selection
Faculty representatives shall be appointed by the Faculty Committee on Committees.
Additional candidates, including faculty candidates and students, are recruited through
an announcement placed in the Focus, employee newsletter, and via other recruitment
efforts. The Executive Committee will review the membership list, identify areas that
are not represented and recruit additional members in order to ensure that a wide cross
section of employees is represented.
C. Term of Membership
Generally, all members, except student members and ex officio members, serve for three
consecutive years. Terms begin in September and end in August. Active members may
make a request to the Executive Committee to serve more than one term. Every effort
will be made to stagger members’ terms to ensure continuity.
D. Voting Privileges and Procedures
All Council members, except ex officio members, have voting privileges. The Executive
Committee will determine whether an item should be brought to a vote. Any issue
requiring voting action should have a notice sent to committee members seven (7) days
in advance. An item will be brought to a vote by the full Council only when there is a
quorum. A quorum is defined as 51% of the membership. An item will pass with two
thirds of the quorum.
E. Responsibilities of Members
Members are expected to attend regular Council meetings, and join and actively
participate in at least one subcommittee. Members who will be absent from a meeting
are responsible for notifying the DEOO prior to that meeting; such an absence will be
considered an excused absence.
F. Subcommittees
The Executive Committee may recommend to the CEOD the establishment or
dissolution of subcommittees as necessary to carry out the CEOD’s duties.
The Executive Committee approves subcommittee cochair(s) of these subcommittees.
Any UMMS employee may join a subcommittee or serve as a subcommittee cochair.
Subcommittees’ plans regarding activities, programs and other recommendations will
be submitted to the DEOO for review and approval by the Executive Committee. At the
discretion of the Executive Committee, such plans may be brought before the CEOD for
review and approval.
ARTICLE V - COUNCIL LEADERSHIP
A. CoChairs
The cochairs are elected or reelected by the majority of a quorum of members annually
in June. A slate of candidates will be nominated by the CEOD prior to the June
meeting. A faculty member must fill at least one of these positions. The candidates
must have previously served as active Council members for at least one year. Voting
will be by secret ballot if there are more than two candidates for a particular slot. The
term of office is two years, but each cochair may be reelected. Terms of each cochair
are to be served on a staggered basis, ensuring that one experienced cochair will still be
serving when a new cochair is elected. The cochairs are responsible for conducting the
full Council meetings and leading the Executive Committee meetings.
B. Executive Committee
The Executive Committee shall consist of the cochairs of the CEOD and at least three
and no more than ten additional members of the CEOD. When possible, members of
the Executive Committee will be individuals who have served for at least one year on
the full CEOD. New Executive Committee members shall be selected by the CEOD in
June from a slate of candidates nominated at the prior meeting. Voting will be by secret
ballot if there are more than ten candidates. The term of office is two years, but
Executive Committee members may be reelected.
The Executive Committee meets monthly or more often if required, with the Associate
Vice Chancellor for Diversity and Equal Opportunity. The Executive Committee may
meet independently, as deemed necessary by its members. Executive Committee
members may invite guests to its meetings. Executive Committee meeting minutes will
be recorded by a member of the Council on a rotating basis.
Because some matters before the Executive Committee may be of a confidential nature,
members must adhere to strict confidentiality.
The Executive Committee provides oversight, direction, and coordination of activities of
the subcommittees. In addition, the Executive Committee is responsible for:
a. Overseeing the establishment of Council and subcommittee goals for each year.
b. Reporting on its activities to the full CEOD.
c. Serving as liaison between the Council and other members of the UMMS community.
d. Providing programmatic oversight for the operation of the DEOO.
e. Providing the Chancellor with regular updates on activities, issues and concerns of the CEOD.
f. Overseeing the preparation of an annual report of Council activities.
ARTICLE VI – MEETINGS
The schedule of meetings for the CEOD follows the academic year at UMMS. The
CEOD meets five times per academic year. Meetings of the CEOD and its
subcommittees are open to all members of the UMMS community. Minutes of all
meetings will be made available.
ARTICLE VII – SUPPORT TO BE PROVIDED BY THE DIVERSITY AND EQUAL
OPPORTUNITY OFFICE
A. Information
The DEOO, working in conjunction with the Executive Committee, provides orientation
for new Council members each year. Also, the DEOO, working in conjunction with the
University’s General Counsel Office, provides the full Council with updates on
significant legal developments in the areas of affirmative action and equal opportunity
as needed.
B. Staff Support
The Diversity and Equal Opportunity Office provides staff support to the activities of
the CEOD, including carrying out general secretarial duties for the cochairs, Executive
Committee and the full Council and serving as staff resources to the various
subcommittees.
ARTICLE VIII – ADOPTION AND AMENDMENT OF BYLAWS
These bylaws shall be brought to a vote by the full Council only when there is a
quorum. A quorum is defined as 51% of the membership. An item will pass with two
thirds of the quorum.
The bylaws may be amended or repealed by a majority vote at a meeting at which a
quorum is present, provided written notice of proposed changes has been disseminated
to the membership prior to the meeting. Final approval and adoption of such changes
rests with the Chancellor and, as needed, with the University’s General Counsel Office.
